This privacy statement provides notice of our information collection practices and of the ways in which your information may be used. This policy may change from time to time, so please check back periodically to review this information.
A. Personally-Identifiable Information:
Florida Document Filings Co.™ typically receives specific data about its website visitors only when such information is provided voluntarily, such as when our visitors request information, purchase or enroll for services, provide resume information for employment opportunities, or send us e-mail. Florida Document Filings Co.™ is a trademark used under license by Florida Document Filings Co. and is not affiliated with the State of Florida, the Florida Secretary of State's office, the United States Government, or other state or governmental agencies or entities.
Florida Document Filings Co.™ is a filing agency and does not render any legal, accounting, tax, or other advice. This site provides only general information and should not serve as a substitute for having a review by an attorney or accountant familiar with your specific situation. We strongly recommend that before placing your order with us, you review your proposed actions and filings with your attorney, accountant, or other qualified adviser.
Florida Document Filings Co.™ uses information provided by you to complete and file documents on your behalf. No representations or warranties, express or implied, are given regarding the legal or other consequences resulting from the use of our services or forms.
Neither Florida Document Filings Co.™ nor any member, officer, or employee of Florida Document Filings Co.™ warrant (i) the accuracy of any information contained in the records or on the systems of the Florida Secretary of State or other state or federal governmental agencies or entities, or (ii) the reliability of any information placed by you or others in our system, or (iii) the time frame within which the Florida Secretary of State or other state or federal governmental agencies or entities will update their records nor the time frame within which the Florida Secretary of State or other state or federal governmental entities will file or confirm filing of any documents or filings which we transmit and/or submit on your behalf.
Access to all government systems is more difficult during periods of peak use, and as a result, we are not responsible for any delays which may be caused due to our difficulty in accessing any government systems. The most difficult time to access the Florida Secretary of State's system is in the days including and immediately preceding May 1 of each year. Under current law, Annual Reports for Florida Corporations and Annual Reports for Florida Limited Liability Companies must be filed with the Florida Secretary of State on or before May 1 of each year in order to avoid substantial late filing penalties and the risk of dissolution of any late-filing corporation or limited liability company. Because it is more time intensive to complete filings and confirm filings with the Florida Secretary of State during peak periods, our fees for processing any Annual Reports first submitted to us for filing between April 25 and April 28, inclusive, incur a "Last-Minute Filing Surcharge" of $50, and any Annual Reports first submitted to us for filing between April 29 and May 1, inclusive, are subject to an "Emergency Filing Surcharge" of $75. It is impossible to guarantee that Annual Reports submitted to us for filing with the Florida Secretary of State after April 28 of any year will be timely filed; we will, however, use our best efforts to assure timely filing. The "Last-Minute Filing Surcharge" and "Emergency Filing Surcharge" are non-refundable, as long as we make a good-faith effort to timely complete these filings with the Florida Secretary of State on your behalf.
Florida Document Filings Co.™ shall not be liable for any losses caused by reliance on the accuracy, reliability, or timeliness of any information contained in the records of the Florida Secretary of State or other state or federal governmental agencies or entities nor for any errors or inaccuracies in the information which you submit to us or which we transmit and/or submit on your behalf to the Florida Secretary of State or other state or federal governmental agencies or entities. While we pride ourselves on the accuracy of the information we transmit on your behalf, all persons who use our system to obtain information or complete filings with the Florida Secretary of State or other state or federal governmental agencies or entities do so at their own risk. All users of our service expressly agree that Florida Document Filings Co.™ will not be liable or responsible for any direct, indirect, consequential, compensatory, punitive, or other damages, delays, or inconveniences caused by the use of our services. Under all circumstances, the liability of Florida Document Filings Co.™ is limited to a maximum of (i) the amount paid to us by the user for our services and (ii) any unexpended filing or governmental fees received by us.
By using this service, you understand, acknowledge, and agree that Florida Document Filings Co.™ AND ITS REPRESENTATIVES AND EMPLOYEES HAVE MADE (1) NO EXPRESS WARRANTIES OF ANY NATURE RELATIVE TO THE SERVICES BEING PROVIDED AND (2) NO IMPLIED WARRANTIES OF ANY NATURE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND SHALL NOT BE LIABLE THEREFOR.
By using this website or any service provided by Florida Document Filings Co.™, you acknowledge and agree that you have read the Terms of Use accessible at the bottom of this page and that you release Florida Document Filings Co.™ and all of its representatives, agents, and employees of any and all liability of any nature whatsoever that may arise from the use of such services.
